Terms of Service
Effective date: May 16, 2026
1. The Short Version
- You agree to use Domios for lawful property management activities and to not abuse, scrape, or break the platform.
- You keep ownership of the content you submit; we get a license to use it to run the Services, improve them using de-identified data, and publish aggregated industry insights.
- Our AI features (Max, Diana, Henry) suggest things; humans — your property manager — make the final calls.
- Domios is a platform. We do not employ vendors, do not own properties, and do not collect rent. Decisions about your tenants, vendors, or properties are made by the property management company.
- If something breaks the rules of these Terms, we can suspend or close the account. You can leave anytime and we'll help you export your data within a reasonable window.

Domios is a small team building in public. We aim for honesty over polish. If anything in these Terms doesn't match what you actually experience, email us at legal@domios.ai and we'll fix it.
2. Acceptance of Terms
By accessing or using the Domios platform and its associated mobile applications (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
You must be at least 18 years old to create an account and enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms and that the organization agrees to be responsible for your compliance.
3. Description of Services
EVO SMART AI CORP, doing business as Domios (“Domios,” “we,” “us,” or “our”) provides an AI-powered property management platform that includes:
- The Max tenant mobile app — for submitting and tracking maintenance requests.
- The Diana vendor mobile app and web portal — for receiving, scheduling, and completing work orders.
- The Henry owner mobile app and web portal — for monitoring property performance and owner-manager communications.
- The Messenger mobile app for property management staff — for two-way chat with tenants, vendors, and owners.
- The Domios admin portal — for property management teams to manage properties, units, leases, vendors, and financial records.
We reserve the right to modify, suspend, or discontinue any part of the Services. We will provide at least 30 days' prior notice where reasonably practicable, except in cases of emergency, security incidents, or legal requirement.
4. Domios Is a Platform
Domios is a software platform that enables property management companies to operate. We are not a party to any rental agreement, employment contract, service contract, or other commercial relationship between users of the platform.
- We do not own properties. Owners and property managers own and control the properties listed on the platform.
- We do not employ vendors. Vendors are independent service providers contracted by property management companies.
- We do not collect rent. Rent is paid to and recorded by property management companies; we record what they tell us.
- We do not make decisions about your tenancy. Decisions about lease approvals, renewals, evictions, and rent are made solely by the property management company you work with.
- We do not screen tenants. Tenant screening is not a feature of the platform.
Disputes between tenants, vendors, owners, and property management companies are between those parties. We are willing to provide records of communications and transactions stored on the platform when required by law or by the involved property management company.
5. Account Registration and Security
To access most features, you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Notify us immediately at support@domios.ai if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your credentials, except to the extent caused by our own negligence.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Submit false, misleading, or fraudulent information, including maintenance requests, work order completions, or proof-of-work photos.
- Impersonate any person or entity or falsely represent your affiliation with any person or entity.
- Attempt to gain unauthorized access to any part of the Services or another user's account.
- Upload or transmit viruses, malware, or any other harmful or disruptive code.
- Interfere with or disrupt the integrity or performance of the Services or the servers and networks connected to them.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Use automated tools to scrape, crawl, or extract data from the Services without our prior written permission.
- Harass, threaten, or harm other users through the platform's communication features.
- Use the Services to discriminate against any person on the basis of any protected characteristic under federal, state, or local fair housing or anti-discrimination law.
Violation of these rules may result in suspension or termination of your access to the Services.
7. Intellectual Property and Content License
The Services, including all software, designs, text, graphics, and content created by Domios, are owned by EVO SMART AI CORP and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose during the period your account remains active.
The license you grant us
You retain ownership of content you submit through the Services (maintenance request descriptions, photos, work order details, messages, and similar). You represent that you have all rights necessary to submit such content. By submitting content, you grant Domios a worldwide, royalty-free, non-exclusive license to use, store, process, and analyze that content for the following purposes:
- To operate, maintain, and provide the Services to you and to the property management company you work with;
- To generate aggregated and de-identified insights that benefit you and other customers — for example, maintenance benchmarks, property condition trends, vendor performance norms, and best-practice analytics — provided that such insights cannot reasonably be used to identify you, your property, or any other specific person;
- To improve our platform and AI features, including by using de-identified data to train or evaluate our internal AI models. We do not use the content of your individual conversations with Max, Diana, or Henry as training data, and we do not retain your individually identifying information for AI training;
- To publish industry research, reports, and benchmarks based on fully aggregated and de-identified data drawn from across our customer base, provided that no specific person, property, company, or transaction can reasonably be identified;
- To detect, prevent, and address fraud, security incidents, and abuse of the Services;
- To comply with applicable law, court order, or government request.
We commit to maintaining technical and procedural safeguards to prevent re-identification of de-identified data, and we will not attempt to re-identify it.
Feedback
If you submit feedback, suggestions, or ideas about the Services, you grant Domios the right to use such feedback without restriction or compensation to you.
8. Service Provider Performance Tracking
If you provide services through the Domios platform as a vendor or service provider, you acknowledge that we collect objective operational metrics about your work, including:
- The number of dispatches sent to you;
- Whether you accepted, declined, or did not respond to each dispatch;
- Your average response time and time-to-completion;
- Whether your completion evidence was reviewed by the property manager as qualified or not qualified;
- On-time performance against scheduled visit dates.
These metrics are factual records derived from your activity on the platform. They are not algorithmic ratings or AI-generated judgments about you.
The property management company that dispatched work to you may use these metrics to inform their own decisions about future dispatches. Each property management company sees only the metrics generated by their own dispatches to you; we do not share your performance metrics across property management companies without your explicit consent.
You may request to view a summary of the performance metrics we hold about your activity on the platform at any time by emailing support@domios.ai.
9. AI-Powered Features
The Services include AI-powered agents — Max, Diana, and Henry — that assist with communication, triage, dispatch, and reporting. Each is clearly identified as artificial intelligence in the app and does not impersonate human staff.
AI can make mistakes
AI-generated responses, suggestions, and recommendations may occasionally be inaccurate, incomplete, outdated, or simply wrong. AI features are provided for convenience only and do not constitute legal, financial, medical, or other professional advice. You are responsible for reviewing and verifying any AI output before relying on or acting upon it.
Humans make the final calls
AI suggestions on the platform — for example, Max's suggested work order priority or trade type — are starting points for your property manager to review and adjust, not automated decisions. Final decisions about rent, lease terms, eviction, vendor selection, and tenant eligibility are made by humans at the property management company, not by AI.
We do not train AI on your data
We do not use the content of your individual conversations with our AI features to train artificial intelligence models. Our AI providers' API terms prohibit them from using your data to train their models. We may use aggregated and de-identified operational data to improve our platform; see Section 7.
Domios expressly disclaims liability for any decisions made in reliance on AI-generated output, to the maximum extent permitted by law.
10. Copyright Complaints (DMCA)
Domios respects the intellectual property rights of others. If you believe that content on the Services infringes your copyright, you may send a notice of claimed infringement under the U.S. Digital Millennium Copyright Act (DMCA) to our designated agent.
How to submit a DMCA notice
To be effective under the DMCA, your notice must include all of the following:
- A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material on the Services that is claimed to be infringing, with information sufficient to allow us to locate it;
- Your contact information (address, phone number, and email);
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Counter-notice
If you believe your content was removed in error or as a result of misidentification, you may submit a counter-notice under 17 U.S.C. § 512(g). Counter-notices must include the elements listed in that section. Send to the same designated agent above. Misrepresentations in either a notice or a counter-notice may result in liability under 17 U.S.C. § 512(f).
We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
11. Subscription and Payment Terms
Some Services are offered on a paid subscription basis. The current pricing, billing cycle (e.g., monthly or annual), and payment terms applicable to your account are shown at the time you sign up or as separately agreed in writing.
- Renewal: Unless otherwise stated, subscriptions automatically renew at the end of each billing period. You can disable auto-renewal in your account settings.
- Cancellation: You can cancel at any time. Cancellation takes effect at the end of the then-current billing period; we do not refund unused time on a pre-paid subscription except where required by law.
- Price changes: We will give you at least 30 days' notice of any price increase before it takes effect; you may cancel before the new price applies.
- Taxes: Prices are exclusive of applicable taxes (e.g., sales tax, VAT), which are added at checkout or invoicing.
- Late payment: We may suspend access to paid features if invoices are more than 30 days overdue, and may charge reasonable late fees as permitted by law.
This section will be expanded with full subscription terms when our public pricing model is finalized.
12. Indemnification
You agree to defend, indemnify, and hold harmless Domios and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you submit through the Services. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
Some jurisdictions do not allow the disclaimer of implied warranties, so the above disclaimers may not apply to you in full.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOMIOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation of certain damages, so the above limitations may not apply to you in full.
15. Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST DOMIOS.
IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, BOTH YOU AND DOMIOS WAIVE ANY RIGHT TO A JURY TRIAL.
16. Termination and Data Export
You may stop using the Services at any time. To request deletion of your account, go to Settings → Delete Account within the app, or email support@domios.ai. Your account is deactivated immediately; personal information is removed after a 14-day cooling-off period (during which you can cancel the request). Details on what data is deleted and what may be retained are described in our Privacy Policy.
Termination by Domios
We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Termination for cause (such as a Terms violation) takes effect immediately. Termination because we discontinue the Services takes effect with at least 30 days' advance notice where reasonably practicable.
Transition assistance and data export
If your account is terminated for any reason other than a material Terms violation, we will provide a reasonable window — at least 30 days from the effective date of termination — during which you can request an export of your data in a portable, machine-readable format. To request an export, email support@domios.ai.
Following termination, your personal data will be handled in accordance with our Privacy Policy. The following sections survive termination: Intellectual Property and Content License, Indemnification, Disclaimer of Warranties, Limitation of Liability, Class Action Waiver, Governing Law, and General Provisions.
17. Export Control
The Services are subject to U.S. export control laws and regulations, including the U.S. Export Administration Regulations and economic sanctions enforced by the U.S. Office of Foreign Assets Control. You agree not to access or use the Services in any country subject to comprehensive U.S. sanctions, and you represent that you are not on any U.S. government list of restricted or denied parties. You agree not to export, re-export, or transfer the Services to any party prohibited by U.S. export law.
18. Accessibility
We aim to make the Services accessible to people with disabilities and work toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. We acknowledge that we have not yet achieved full conformance across all features of the platform. If you encounter an accessibility barrier or have suggestions for improvement, please email support@domios.ai and we will respond and work to address the issue.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent permitted by applicable law, any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware. Nothing in this Section limits any non-waivable right you may have under applicable consumer law in your state of residence.
20. Changes to These Terms
We may update these Terms from time to time. For material changes (such as changes to the license you grant us, the data we collect, or your dispute-resolution rights), we will give at least 30 days' advance notice by posting the updated Terms on this page, updating the “Effective Date”, and where practical, sending notice to the email associated with your account. For non-material changes (such as clarifying language or formatting), we will give at least 7 days' notice. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes.
21. General Provisions
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Domios regarding the Services and supersede all prior agreements, representations, and understandings, whether written or oral.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Domios.
Force Majeure
Domios is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, internet or infrastructure outages, third-party service failures, acts of government, or other force majeure events.
Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Domios may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
